Acted for an affiliate of Roger Hardy Capital Corporation (RHCC) – doing business as Onlineshoes.com – in its acquisition of all of the outstanding shares of Shoes.com, Inc. from a subsidiary of Brown Shoe Company. Financial terms of the acquisition were not disclosed.
Proceeds for the acquisition transaction were provided in part from the issuance of convertible debentures to accounts managed by Deans Knight Capital Management Inc., and in part from a non-brokered private placement of common shares. The acquisition complements RHCC’s prior acquisitions of Onlineshoes.com and Shoeme.ca.
